KM ERP Terms of Use
1. General Provisions
Welcome to the KM ERP cross-border e-commerce management system. The platform's services, functions, tools, and data resources are made available to cross-border merchants. By registering, logging in, or using any function, you acknowledge that you have read and understood these Terms of Use and voluntarily agree to comply with them and the platform's applicable operating rules.
Please read these Terms carefully before using the system. If you do not agree to any provision, do not register for or use any KM ERP service. Your continued login or use of any system function constitutes your unconditional acceptance of these Terms.
Any function, intelligent tool, or operational service added in the future will also be governed by these Terms. We may update these Terms at any time. An amendment takes effect immediately upon publication, and users are responsible for reviewing the latest version periodically.
2. User Eligibility and Conduct
2.1 To register for and use a KM ERP account, an individual must have reached the age of legal majority in the applicable jurisdiction. An enterprise user must possess all qualifications required to conduct its business lawfully.
2.2 You must not use the system for unlawful business activities, infringement of image copyrights, fraudulent order manipulation, unlawful resale of resources, or any other conduct that violates applicable law or industry rules. You must not distribute viruses, malicious programs, or code designed to disrupt the system.
2.3 If a user violates these requirements or maliciously disrupts platform operations, we may immediately suspend or permanently disable the user's account and terminate all access to the services.
3. General Platform-Service Rules
3.1 KM ERP applies a principle of fair service. We may adjust access rights or optimize functions according to operational requirements and reserve the right to refuse service where reasonably justified.
3.2 Non-payment information, including store-operation data and store materials, is transmitted through standardized processes. Payment statements and financial-account information are protected through encryption to safeguard merchant funds and privacy.
3.3 Without KM ERP's prior written authorization, no user may reproduce, resell, reverse engineer, commercially exploit, or otherwise misuse the system's functions, source code, or supporting operational services. Resale of platform access is strictly prohibited.
3.4 Section headings are included for convenience only, have no independent legal effect, and may not be used as a basis for interpreting these Terms.
4. Platform Information and Content
Descriptions of functions, industry information, operational tutorials, service pricing, and other platform content are provided for business reference only. We use reasonable efforts to keep such information accurate, but are not responsible for business decisions affected by omissions, inaccuracies, or delays. We may adjust page content or update industry materials without providing individual notice. Merchants are responsible for independently verifying information before making operational decisions.
5. Changes to Services and Pricing
5.1 Prices for paid plans and value-added services may be reasonably adjusted without prior notice. The platform may upgrade, discontinue, or suspend a function or service according to operational requirements.
5.2 KM ERP is not liable for compensation or joint and several liability arising from the effect of a service adjustment, price change, or discontinued function on a merchant's business.
5.3 The platform may limit the availability or quantity of services. Access may be restricted for non-compliant merchants or accounts involved in bulk resale, and a service plan obtained or used in violation of these Terms may be invalidated immediately.
5.4 We undertake only to provide normal system operation and maintenance. We do not warrant that the services will fully meet a merchant's business expectations, and issues not caused by a system defect are not eligible for compensation.
6. Account and Billing Information
6.1 KM ERP may review a request to purchase or activate a service plan and may reasonably restrict bulk purchases involving multiple accounts held by the same individual or enterprise in order to prevent account resale.
6.2 When registering an account, you must provide true, valid, complete, and accurate enterprise information, business address, contact email address, reconciliation account, and other required information. You must promptly update any changed information to ensure that reconciliation, notices, and support communications can be delivered.
7. Fees and Automatic Renewal
7.1 The applicable prices for paid plans are published on the platform. We will notify merchants through an official email at least 30 days before changing a pricing standard or introducing a new fee.
7.2 Unless otherwise agreed separately in writing, a service plan will automatically renew upon expiration. The renewal fee will be charged to the payment account designated by the user, and the plan will be renewed for an equivalent service period.
7.3 An invoice for a multi-seat enterprise account must be paid within 30 days after issuance. If an amount remains unpaid after the due date, the system will automatically freeze the account and suspend all operational access.
7.4 If all outstanding amounts remain unpaid for 180 days after becoming overdue, the system will permanently delete the account. Store data and operational materials stored under the account cannot be recovered.
8. Refunds, Downgrades, and Account Deletion
8.1 All paid KM ERP plans are prepaid. Because the software is provided as a real-time online service, no refund will be issued after a plan has been activated, except where the platform expressly announces otherwise.
8.2 If a merchant voluntarily requests account deletion or a plan downgrade, fees already incurred for the current billing period will not be refunded. The platform operations team has final authority to review ordinary refund requests.
8.3 A request to delete an account or downgrade a service plan must be submitted through the platform's officially designated process. Requests sent from an unofficial email address or through a private message will not be accepted.
9. Third-Party Tools
KM ERP may integrate third-party operational plug-ins, cross-border support tools, and logistics interfaces. The relevant provider is solely responsible for each third-party tool's access rights, service rules, and usage risks.
We provide only the integration interface and do not operate or manage third-party tools. We are not responsible for their effectiveness or security. Before using a third-party tool, a merchant must verify the provider's qualifications and assumes all associated risks. Any additional third-party tool introduced through the platform will also be governed by this section.
10. External Links
Certain material, tutorial, or partner links in the system may lead to an external third-party website. The content, services, and business rules of an external website are independent of KM ERP.
We do not verify the accuracy of third-party website content and are not liable for transaction disputes, property loss, infringement, or other risks arising from an external website. Merchants must independently assess the risks before transacting or cooperating through an external link.
11. User Feedback and Submitted Content
A merchant may voluntarily submit operational suggestions, proposals for function improvements, industry experience, or other content. The merchant grants the platform a royalty-free right to edit, publish, promote, reorganize, and use submitted text, proposals, and materials.
We are not obligated to respond to every submission or pay compensation. We may review and remove unlawful, malicious, or infringing user content.
User comments and public content must not infringe another person's intellectual-property or privacy rights and must not contain unlawful, obscene, or defamatory material. The person who submits prohibited content bears the resulting legal liability.
12. Protection of Personal Information
Enterprise information, operational information, and identity-verification materials retained on the platform are managed in accordance with the KM ERP Privacy Policy. We protect merchant confidentiality and apply controls designed to prevent unauthorized disclosure.
13. Correction of Platform Information
Descriptions of functions, plan prices, and campaign rules may occasionally contain omissions or data-entry errors. We may correct inaccurate information and update campaign rules or order information at any time. An order submitted before the correction may be adjusted accordingly without prior notice.
Unless required by applicable law, the platform has no obligation to update all historical information across the website. Merchants must rely on the latest information displayed on the platform.
14. Prohibited Uses
You must not use KM ERP to engage in any of the following conduct:
14.1 Conducting business in violation of applicable laws, regulations, or cross-border e-commerce industry rules;
14.2 Misappropriating another person's qualifications or using false or unauthorized enterprise information to register or operate an account;
14.3 Distributing malicious software or crawler scripts, attacking the system, or disrupting stable system operation;
14.4 Obtaining merchant information in bulk without authorization or using it to harass other merchants through malicious marketing;
14.5 Circumventing platform risk controls, compromising system permissions, or tampering with backend data.
A violation of this section may result in immediate and permanent account termination and termination of all services.
15. Disclaimer and Limitation of Liability
15.1 We do not warrant uninterrupted or error-free system operation and are not responsible for merchant business losses caused by temporary service interruption resulting from server maintenance, network instability, or a system upgrade.
15.2 System analytics and operational reference data are provided for informational assistance only. We do not warrant that the results are completely accurate or correspond to actual business revenue.
15.3 Except for an express written commitment made by the platform, all KM ERP services are provided "as is" without any implied warranty or service guarantee.
15.4 KM ERP is not liable for compensation or joint and several liability for direct or indirect business losses caused by user error, a user's own business decision, or a dispute with a third party.
16. Indemnification
If a merchant's violation of the system rules or these Terms results in a third-party complaint, legal dispute, or commercial claim, the merchant must bear all resulting damages, compensation, and legal fees, must take all reasonable measures to protect KM ERP's lawful brand interests, and must not cause damage to the platform's reputation.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect and are not affected by that determination.
18. Termination
18.1 Any outstanding payment obligation or operational liability incurred before termination of the account-service agreement remains valid and must be fully discharged.
18.2 A merchant may terminate this service agreement by ceasing to use the system. If we determine that a user has materially violated these Terms, we may terminate the agreement without notice, disable the account, and recover any unpaid amount.
19. Entire Agreement
These KM ERP Terms of Use, together with the platform's Privacy Policy, operational rules, and service-plan rules, constitute the entire service agreement between the merchant and the platform and supersede all prior oral agreements and informal communications.
20. Applicable Rules and Dispute Resolution
These Terms are formulated, interpreted, and enforced in accordance with generally applicable rules of the domestic e-commerce industry and applicable laws and regulations. Either party may bring a dispute before the People's Court of Binjiang District, Hangzhou.
21. Amendments
The latest version of these Terms is available through the official KM ERP backend. An amendment takes effect when published by the platform. A merchant's continued use of the system constitutes acceptance of the amended Terms.
